1. Acceptance of Terms

By accessing or using FlockTank (“Services”), a property of EconChangers LLC, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Services.

2. Description of Services

FlockTank is a crowdfunding platform for worker cooperative investments operating under SEC Regulation CF. Our Services enable:

• Worker-owned cooperatives to raise capital through crowdfunding campaigns
• Investors to discover and invest in cooperative businesses
• Workers to find employment opportunities at cooperatives
• Communities to support and grow the cooperative economy

3. Eligibility

To use our Services, you must be at least 18 years old and capable of forming a binding contract. By using our Services, you represent that you meet these requirements.

4. Account Registration

Single Sign-On (OAuth)

EconChangers serves as the central identity provider for FlockTank. By creating an EconChangers account:

• You use your EconChangers credentials to sign in to FlockTank
• When you authorize FlockTank, you grant the application access to specific information as described during the authorization process
• You can view and revoke FlockTank's access at any time in your EconChangers account settings
• You remain responsible for activities performed through your authorized FlockTank account

Account Security

You are responsible for maintaining the security of your account. This includes:

• Using a strong, unique password (minimum 12 characters) on your EconChangers account
• Enabling multi-factor authentication (MFA) for enhanced security
• Reviewing active sessions and authorized applications regularly
• Immediately notifying us of any unauthorized access

5. Investment Disclosures

SEC Regulation CF Compliance

FlockTank operates as a funding portal under SEC Regulation CF. All investment offerings are subject to securities laws and regulations. Key disclosures:

• Investment opportunities are speculative and involve significant risk of loss
• Past performance is not indicative of future results
• Investments in startups and early-stage companies are illiquid
• You should only invest what you can afford to lose
• Non-accredited investors are subject to annual investment limits as set by the SEC

6. User Conduct

You agree not to:

• Use the Services for any unlawful purpose
• Submit false or misleading information

• Use automated systems to access the Services without permission
• Harass, abuse, or harm other users

7. Intellectual Property

All content on FlockTank, including text, graphics, logos, and software, is the property of EconChangers LLC or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

8. User Content

By submitting content to FlockTank (campaign descriptions, updates, comments, feedback, messages), you grant EconChangers LLC a non-exclusive, royalty-free license to use, reproduce, and display such content in connection with our Services.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ECONCHANGERS LLC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECONCHANGERS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, INCLUDING ANY INVESTMENT LOSSES. INVESTING IN COOPERATIVE BUSINESSES INVOLVES RISK, AND YOU ACKNOWLEDGE THAT ECONCHANGERS LLC IS NOT RESPONSIBLE FOR THE SUCCESS OR FAILURE OF ANY CAMPAIGN OR INVESTMENT.

11. Indemnification

You agree to indemnify and hold harmless EconChangers LLC and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of the Services after changes constitutes acceptance of the modified Terms.

13. Termination

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination, your right to use the Services will immediately cease.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which EconChangers LLC is incorporated, without regard to conflict of law principles.
